Terms of Service
Effective date: October 23, 2026
These Terms of Service ("Terms") are an agreement between you and Pace & Handy Co. LLC, a Michigan limited liability company ("Pace & Handy," "we," "us"). They cover pacehandy.com, the client portal, review links, our reports and filings work, and anything else we provide (together, the "Service").
If you use the Service for a company, you agree to these Terms for that company and confirm you can bind it. "You" then means you and that company. If you don't agree, don't use the Service.
1. What we do
We audit music catalogs against the records of the Mechanical Licensing Collective (the "MLC") and other public sources. We find registrations, unregistered works, unclaimed shares, unmatched and misrouted recordings, credit errors, and suspected fraudulent claims. Depending on your plan, we prepare the filings to fix what we find, and we submit them with you once you approve them.
We are an independent company. We are not the MLC, a performing rights organization, a publisher, a distributor, a law firm, or an accounting firm, and we are not endorsed by any of them.
2. Accounts
- The Service is for businesses and professionals who are at least 18.
- Give us accurate sign-up information and keep it current.
- Keep your password private. You are responsible for activity on your account. If you think someone else has access, tell us right away at hello@pacehandy.com.
- If you sign in with Google, Google's terms also apply to that sign-in.
- If you add teammates, you are responsible for what they do on your account.
3. Your authority over the catalog
When you send us a catalog, list of writers, or other material, you confirm that:
- you own, administer, or are authorized by the rights holder to act for the works and writers involved, or (for catalog buyers) you have a legitimate reason to review them, such as a pending acquisition;
- you will tell us about anything that limits that authority, such as an administration agreement that gives someone else the right to register or claim certain works; and
- you have the right to share any personal information about writers or other people that you send us.
We rely on what you tell us. If your authority changes or ends, tell us promptly.
4. Filings
- Nothing is filed without your approval. We prepare each filing (bulk-match files, registrations, CWR submissions, support tickets, disputes) with its evidence. You review it and say yes or no.
- Filing authority. For filings you approve, you authorize us to submit them for you through your MLC account, or in another way you direct, and to follow up with the MLC until each one is resolved. That authority covers approved filings only. You can withdraw it at any time by telling us in writing.
- Your MLC account. You stay in control of your MLC account. You give us access by adding us as a team member; we never ask for your MLC password. We use that access only to submit and track approved filings, and you can remove us from your team at any time.
- The decision belongs to the MLC. The MLC and other bodies decide whether a claim, match, or registration is accepted and when money is paid. We don't control that.
- We don't handle your royalties. Royalties are paid by the MLC (or others) directly to whoever is entitled to them. We never receive, hold, or pay out your royalties.
- Once you approve a filing, its content is your submission. Check it carefully before you approve it.
5. What our findings are, and what they aren't
- Our findings come from the MLC's data and other public and third-party sources, plus what you give us. Those sources can be incomplete, out of date, or wrong, and so can our matching. We work to get every row right, but we don't guarantee that any finding is complete or correct.
- We don't guarantee results. We can't promise that a filing will succeed, that money will be recovered, or how much or when.
- Monitoring and alerts are best effort. We may not catch every new claim or mismatch.
- Not professional advice. Our reports are not legal, tax, accounting, or investment advice, and are not a valuation of any catalog or royalty stream. For decisions with legal or financial consequences, including buying or financing a catalog, use your own advisers.
- No third-party reliance. Reports are for you. If you share one with a lender, buyer, investor, or other third party, they may not rely on it as a statement of fact from us unless we agree to that in a signed writing.
6. Plans, billing, and cancellation
- Prices. Plan prices are listed at pacehandy.com/pricing. Enterprise pricing is set in a written order. If an order conflicts with these Terms, the order controls.
- Payment. Payments are processed by Square. By subscribing, you authorize us to charge your payment method for each billing period until you cancel. Annual plans are billed in full at the start of each year. Monthly plans are billed each month.
- Renewal. Subscriptions renew automatically for the same period unless you cancel before the renewal date.
- Cancellation. You can cancel at any time in Account and Team or by emailing hello@pacehandy.com. Cancellation stops the next renewal. It takes effect at the end of the current paid period, and you keep access until then.
- Refunds. Annual plans have a 30-day money-back guarantee: if you cancel within 30 days of your first annual charge, we refund that charge in full. Otherwise, fees already paid are not refundable, including for unused parts of a period, except where the law requires a refund or we agree to one in writing.
- Taxes. Prices don't include taxes. You pay any sales, use, or similar taxes that apply, other than taxes on our income.
- Late or failed payment. If a payment fails and isn't fixed within 10 days, we may pause the Service until it is.
- Price changes. We'll give you at least 30 days' notice by email before a price change applies to you. It takes effect at your next renewal.
7. Your data
- You own your data. That includes your catalog files, statements, notes, and the choices you make on review pages ("Your Data").
- You give us permission to use Your Data only to provide, support, and secure the Service for you, to submit filings you approve, and to meet our legal obligations.
- We do not use Your Data to train AI models, and we don't allow our service providers to use it for that.
- We may use counts and statistics that don't identify you, your catalog, or any writer to improve our methods and describe our results (for example, "a typical catalog has X% unregistered works"). We will never publish your name, a client's name, or a writer's name as a result without your permission.
- How we handle personal information is described in our Privacy Policy at pacehandy.com/privacy.
8. Our property
The Service, including our software, matching methods, report formats, website, and brand, belongs to us. We give you a non-exclusive, non-transferable right to use the Service and our reports for your own business during your subscription. That includes filing with the MLC and sharing reports with your advisers and with counterparties in a transaction, under confidentiality. Reports you received while you were subscribed stay yours to use after you cancel.
Our methods are confidential, and our reports are not a blueprint. Our reports show what we found. How we found it is ours: which sources we search, how we match names and recordings, and the rules and logic behind each finding. You may not, and may not help or allow anyone else to:
- reverse engineer, decompile, or try to work out our matching methods, rules, or logic, whether from the Service, our reports, review pages, filings, or any pattern across them;
- use our reports, findings, or filings to build, train, test, or improve any audit, matching, or royalty-recovery product or service, or any AI model;
- copy, resell, sublicense, or rebuild the Service or our reports, or compile our findings into a database or product for anyone else;
- scrape the Service, or access it with bots or automated tools;
- share our reports or methods with a competitor of ours, or with anyone who helps one; or
- publish benchmarks, comparisons, or descriptions of how our methods work without our written permission.
These limits don't stop you from using your own catalog data, or from filing and acting on the findings for your own works. If you send us ideas or feedback, we may use them freely and owe you nothing for them.
9. Confidentiality
Each of us will keep the other's non-public business information confidential and use it only for this relationship. That includes your catalog, findings, and deals, and our methods and pricing. This doesn't cover information that is public through no fault of the receiving party, that the receiving party already had, or that it got lawfully from someone else. Either of us may disclose information when the law requires it, giving notice first where allowed. On our side, sending a filing you approved to the MLC is a permitted use.
10. Review links
We may send you a private link where you mark registrations "File? Yes / No." Anyone who has the link can see the page and make choices on it, so treat it like a password and share it only with people you trust. We record each choice with its time, IP address, and browser so there is a clear history of what was approved. Tell us if a link has been shared by mistake and we'll replace it.
11. Acceptable use
Don't:
- use the Service to file claims you know or should know are false, or to claim works you have no right to;
- upload anything you don't have the right to share, or anything containing malware;
- try to get into accounts, review links, or data that aren't yours, or probe or break our security;
- overload the Service, or break any limit in Section 8; or
- use the Service in a way that breaks the law or the MLC's rules.
12. Other companies' services
The Service connects to services we don't control, including the MLC, Square, Google, and email and hosting providers. Their terms govern your use of them, and we aren't responsible for their outages, changes, or decisions.
13. Suspension and termination
- You can stop using the Service at any time, and cancellation follows Section 6.
- We may suspend or end your access if you materially break these Terms, don't pay, put others at risk, or if the law requires it. Where reasonable, we'll tell you first and give you a chance to fix the problem.
- After your account ends, you have 30 days to ask for an export of your findings. After that we may delete Your Data as described in the Privacy Policy.
- Sections 3, 5, 7 through 9, and 14 through 18 survive termination.
14. Disclaimer
Except as these Terms expressly say, the Service is provided "as is" and "as available." To the fullest extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We don't promise that the Service will be uninterrupted or error-free.
15. Limitation of liability
To the fullest extent the law allows:
- we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost royalties, or lost revenue, even if told they were possible; and
- our total liability for all claims relating to the Service, combined, is limited to one hundred US dollars ($100).
What these limits don't cover. These limits protect us. They do not limit:
- your obligation to pay fees and taxes under Section 6;
- your defense and indemnity obligations under Section 16;
- liability for fraud or willful misconduct by either of us; or
- any liability that the law doesn't allow to be limited.
16. Indemnity
You will defend and indemnify us, and our owners, employees, and contractors, against third-party claims, and the resulting costs, including reasonable attorneys' fees, that arise from: your lack of authority over a work or writer you sent us; the content of filings you approved; Your Data; or your breach of these Terms. We'll tell you promptly about any such claim and let you control the defense, as long as you don't settle it in a way that admits fault for us without our consent.
17. Disputes
- Talk first. Before starting a formal claim, either of us will send the other a written description of the problem, and we'll both try in good faith to resolve it for 30 days.
- Governing law. These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-law rules.
- Where. Any lawsuit must be brought in the state or federal courts in Wayne County, Michigan, and each of us consents to those courts. Either of us may bring an eligible claim in small-claims court, or ask any court for urgent relief to protect confidential information or intellectual property.
- Individual claims only. To the extent the law allows, claims must be brought individually, not as a class or representative action.
18. General
- Changes. We may update these Terms. For material changes, we'll email paying customers at least 30 days before the change applies to them. Continuing to use the Service after that means you accept the change. If you don't accept it, you can cancel before it takes effect.
- Notices. We send notices to your account email, and you send them to hello@pacehandy.com. Email counts as written notice.
- Whole agreement. These Terms, any signed order, and the Privacy Policy are the whole agreement about the Service.
- Assignment. You may not transfer these Terms without our consent, except to a buyer of your business or catalog with notice to us. We may transfer them to a successor of our business.
- Events beyond control. Neither of us is responsible for delays caused by events outside reasonable control, including outages at the MLC or other providers.
- Severability and waiver. If part of these Terms is unenforceable, the rest still applies. Not enforcing a right now doesn't waive it later.
- Relationship. We are independent contractors. Apart from the limited filing authority in Section 4, nothing here makes us your agent, partner, or employee.
